SECTION ONE: This Association shall be known and called Uma ne Edo of Barcelona and in spanish language "Associacio Socio Cultural de Edo en Barcelona"
SECTION TWO: MOTTO
To promote unity and harmony among members and society
SECTION THREE: EMBLEM
(a) The emblem of Uma ne Edo shall be the profile of a commemorative alter head of Idia ne iye Esigie (Festac head).
(b) The colour of the Association shall be White and red
SECTION FOUR: AIMS/OBJECTIVES
The aims of Uma ne Edo of Barcelona include:
1. To promote unity, goodwill and healthy interaction amongst members
2. To cherish preserve and enhance the age-long tradition and cultural heritage of the Edo people.
3. To help in the task of National building:
(a) To foster moral education and discourage all inhuman art and obnoxious ills of our society
(b) To encourage and sponsor various philanthropic as well as participate in such social, economic and cultural ventures as may contribute to the upliftment of our people.
(c) To give support to any institution in Edo State and the Nation, Nigeria as a whole when such institution is performing well in the interest of Edo people and the public in general.
(d) To create awareness for individual and collective contribution towards their responsibilities.
4. To protect the rights and interest of Edo people everywhere in as much as each act is within the ambit of law and fairness
of law art fairness.
5. To affiliate and/or work, actively with other bodies provided:
(a) Such bodies have similar objectives as the Uma ne Edo of Barcelona
(b) Such holy alliance does not lead to UEB losing it's identifying as an independent Association.
(c) Such associating shall be divorced of partisan politics, as well as religious bias.
ARTICLE TWO: MEMBERSHIP
SECTION ONE: REQUIREMENTS Membership shall be open to all Edo citizens. Precisely, adults who have attained the age of Eighteen (18) years and
above drawn from all work of life irrespective of their religions, professional and political leanings
(a) Such person o person shall not use those qualities to the detriment of UEB
(b) Such person or intending member has no record of any past or recent criminal involvements.
(c) Such member or intending member continues to show zeal, initiative and drive towards the prorogation of UEB objectives.
2. Application forms can be obtained from the Secretariat free of charge
3. Completed application forms for intending members
(a) must be sponsored by not fewer than two accredited members of the Uma ne Edo of Barcelona
(b) Should reach the house through the Secretary for onward transmission to the interview committee
4. There shall be an interview committee of the organisation whose functions will be to recommend applications to the general house for consideration
5. Any objection by a member in writing will be sufficient to suspend the interview process of any intending member, consequently, the matter shall:
(a) Be decided by the general house. Where the house could not reach a decision the matter will
(b) Be refereed to a special (ad-hoc) committee set up for the same purpose or
(c) Be refereed to the Executive Committee.
6. A successful candidate shall be a member:
(a) On payment of Fifty euros (50.00) only as membership fee
(b) On payment of Five euros (5.00) only for a copy of Uma ne Edo of BarcelonaConstitution
7. Uma ne Edo of Barcelona may not entertain any query from any applicant whose application is unsuccessful.
SECTION TWO: TYPE OF MEMBERS
1. There shall be two types of membership:
(a) Active Membership (AM) - Tri State Area
(b) Distant Membership (DM) - Tri state Area
2. A member shall be considered Active if he is fully and physically involved in all Organisation Activities
3. An active Member (AM) may be granted distant membership (DM) where:
(a) Such a member is away on transfer to a location such that he cannot fully an physically partake in Association functions
(b) Such Active Member gains admission for further studies and cannot meet up with the demands of the Association.
(c) Such request is made in writing to the house through the Welfare Committee giving cogent reasons for the request.
(d) Such an intending Distant Member is not indebted to the Association in any way at the time his application is being considered.
(f) Such an intending distant member shall have made all arrangements to ensure that he meets his financial and other necessary obligations to the Association.
DISTANT MEMBERS/STUDENTS Any distant member whether schooling or working shall only pay monthly dues and any other levy imposed on members but shall be exempted from fines for absence from and lateness to meetings.
(h) All or any distant member(s) providing the member(s) residing within the country, shall attend the end of the year (December) meeting of the Association in order to facilitate a reunion of the entire Association membership
SECTION THREE: WITHDRAWAL OF MEMBERSHIP
A member could apply for withdrawal of membership in writing and giving at least three (3) months notice in so far as the following conditions are met
(a) Must not be indebted to the Association before the application is granted
(b) Must have handed over all Association/Business properties including membership cards etc. in his possession, when he submits his application for withdrawal.
(c) Must appear before the Welfare Committee of the house to defend his request for withdrawal
(d) Must attend all Association sessions and functions up to the date his withdrawal notice is granted.
(e) Whereas these conditions have been fulfilled, approval could be granted on simple majority vote counts of the general house.
(f)Such a member shall have his entitlement in the Association's business only and shall be paid at the end of the Association's financial year or as at when due. This does not include monthly dues.
ARTICLE THREE: ADMINISTRATION
Section One: ELECTIONS Uma ne Edo of Barcelona shall have the following officers:
(i) President
(ii) Vice President
(iii) Secretary
(iv) Assistant Secretary
(v) Treasurer
(vi) Financial Secretary
(vii) Director of protocol and publicity
(viii) Chief Whip
Section Two: OFFICERS
1. Officers of the Association shall remain in office for 2 calendar years only that is, January to the following 2 years of December, unless re elected. The President should announce to the house in Nov. of Election Year
2. In November of Election Year, the President shall announce to the house that the Executive will be dissolved in December. A Returning officer who must not be standing for election shall be appointed by the President at the December meeting. Members shall be asked to volunteer for the returning officer position.
3. The returning officer shall preside over the election of Caretaker Committee on same date, that is, December general meeting
4. The care-taker committee of the Association shall be made up of a chairman, secretary treasurer and two other members.
5. The house shall elect a Returning Officer to conduct the election of new officers on the December meeting for the next term of office.
6. The new Executive Committee shall assume office in January after elections and the Care-Taker Committee shall stand dissolved - January.
7. Election of officers shall be decided only by secret ballot the general house unless where otherwise desired.
8. All members shall be eligible to vote and be voted for expect where otherwise stated in other sections of this constitution.
9. All officers are honorary and do not attract any financial or material remunerations
10. Vacancies within the calendar year shall be filled by a by election as may be arranged by the Executive committee.
11. Only members with fully paid up dues shall vie for any officer in the Association.
12. A presiding officer shall have no voting rights except in the event of a tie where he shall have a deciding vote.
13. Issues shall be decided by simple majority of vote cast by members in a properly constituted Association session, except where otherwise stated in other sections of this constitution.
SECTION THREE: FUNCTIONS OF OFFICERS
THE PRESIDENT
(a) The president shall summon all General/Executive meeting of the Association, through the secretary in a situation where the President fails to summon meeting, signatory of one-third of bonafide members of the Association or not fewer than half members of the Exec Committee shall be instrument for summoning the respective meetings.
(b) Preside over all general/exec meetings of the Association and shall direct proceedings.
(c) endorse minutes of the general meetings.
(d) approve all payments and Association withdrawals as well as be a signatory to all bank transaction
(e) Be an ex official member of standing committees
(f) Have no voting rights except in the event of a tie where he shall have deciding vote.
(g) Co-ordinate and supervise all Association activities
(h) Shall set-up an emergency committee to deal with specific issues specially when such issues require solution within a period not exceeding two days is convinced that:
(i) The Committee can effectively deal with the matter to the satisfaction of the generality of Association members
(ii) to convey an emergency General or Executive meeting shall delay action on same
(iii) Such committees do not infringe on the rights and office of any member or Association officers
(iv) Shall perform any other functions that may be assigned to him
THE VICE PRESIDENT
(a) The Vice president shall assist the president in the day-to-day running of the Association and shall deputize in his absence
(b) Chairman of both the welfare and interview committee of the Association
(c) Perform any other functions that may be delegated to him by the house from time to time
THE SECRETARY
(a) The secretary shall be the head of the Association's secretariat and shall convene all general meetings after consultation with the President
(b) The secretary shall record proceedings at general meetings.
(c) The secretary shall receive and reply to all correspondence on behalf of the Association after consultation with the president
(d) The secretary shall keep a chronological record of all Association activities and shall pass all Association information and/or resolutions to members at all times through Director of Protocol and Publicity
THE ASSISTANT SECRETARY
(a) The assistant secretary shall assist the secretary in secretarial matters and shall act for him in his absence.
(b) The assistant secretary shall be in charge of application forms for intending members and shall be secretary of the interview committee of the Association
(c) The assistant secretary shall record proceedings at EXCO Meetings, unless when absent in which case the EXCO should nominate a member to act in that capacity
(d) The assistant secretary shall perform such other duties that may be assigned to him by the house from time to time
THE TREASURER
(a) The treasurer shall save the Association's money in the Association's bank account within 48 hours of receipt and shall keep the banks record
(b) The treasurer shall issue receipts for all monies received from the financial secretary or any person acting on his behalf.
(c) The treasurer shall keep and disburse an imprest account or not more than One hundred euros which shall be continuously replenished after same has been fully accounted for
(d) The treasurer shall be co-signatory to Association withdrawals
THE FINANCIAL SECRETARY
(a) The financial secretary shall keep records of all financial transactions both income and expenditure of the Association.
(b) The financial secretary shall collect all Association dues and hand over to the treasurer for banking.
(c) The financial secretary shall issue receipts for all monies collected from members or shall endorse slips to be deposited by members in respect of such monies collected as the case may be.
(d) The financial secretary shall keep the cheque book of the Association
(d) The financial secretary shall present an annual financial report to the Association at the end of every year.
(e) The financial secretary shall report regularly on financial position of each member in the Association
THE DIRECTOR OF PROTOCOL & PUBLICITY
(a) The Director of Protocol and Publicity shall be Chief Organizer of all Association functions
(b) Shall be chairman of the publicity and protocol committee and shall be master of ceremony in all Association's social gatherings except otherwise desired.
(c) Shall perform all other duties or functions that may be delegated to him by the Association
(d) Shall publicize all Association activities
(e) Shall disseminate Association resolution and information to all members
CHIEF WHIP
(a) The chief whip is the Association's law enforcement officer while in session
(b) Shall maintain law and order in all Association gatherings and shall bring offenders to book
(c) Shall present an annual disciplinary report to the house
(d) Shall perform all other duties that may be assigned to him by the house
SECTION FOUR: PATRONS AND PATRONESSES
1. Uma ne Edo of Barcelona shall have one (1) GRAND PATRON and he shall be the O Mo N'Oba N'Edo, Uku Akpolokpolo, Oba of Benin
2. There shall be Patrons and Patronesses as may be decided by the General house
3. Patrons and Patronesses of the Association shall be drawn from all works of life irrespective of their professional, political or religious bias
4. Patrons/Patronesses shall be appointed in the general meeting of the house, same which shall be communicated to the proposed Patron or patroness and such appointment shall be authenticated if the Association receives a letter of acceptance from the Patron or Patroness
5. Patrons/Patronesses shall be required to give support to the Association
6. Patrons/Patronesses may be invited to attend both the general and executive meetings of the Association but shall have no voting rights
7. The continuous stay as Patron/Patroness of the Uma ne Edo of Barcelona shall be determined by:
(a) His/Her willingness to render such services to the Association
(b) His/Her continuous support for the activities of the Association
(c) The decision of the General/Executive bodies of the Association
SECTION FIVE: STAFF
1. The Uma ne Edo of Barcelona may employ secretariat staff and other officials or workers as may be required to run the Uma ne Edo of Barcelona house investments, business etc.
2. Such employees of the Association as in 1. above shall carry out such functions as may be assigned to him or her shall eBarcelonaoy such remunerations and conditions of service to be recommended by the Board of Trustees/Investment of the Association
3. The wages/conditions of service for the Uma ne Edo of Barcelona staff may be reviewed from time to time by the house on the advice of the Board of Trustees/Investment Committee
4. Paid employees of the Association may be posted from one unit of Association Business or office to the other and are subject to the direct control of the Uma ne Edo of Barcelona Board of Trustees/Investment Committee
5. Discipline of employees or staff of the Association may be delegated to the Board of Trustees/Investment Committee or to any person or group of persons by the executive body of the Association; the reports must be ratified by the general house.
SECTION SIX: COMMITTEE
There shall be both Standing and Ad-Hoc Committee:
1. STANDING COMMITTEES:
These shall include:
(a) Executive Committee
(b) Board of Trustees/Investment Committee
(c) Welfare Committee
2. FUNCTIONS/COMPOSITION OF STANDING COMMITTEES (a) Executive Committee
(i) Shall be the major working committee of the house
(ii) Shall be made up of all officers of the Association and one ex official member who shall be the immediate past President of the Association
(iii) Shall from quorum when not less than half of its members are present
(iv) Shall propose all administrative policies to the house for approval or ratification and may take decisions on behalf of the Association in emergency cases as it may deem fit in as much as such decisions shall be within the ambits of law and in the interest of the general house
(b) Board of Trustees/Investment Committee
(i) The Association shall have investment committee of seven members
(ii) Shall compose of:
(iii) Shall not expend any money accruing from any Association's business or give away any of the Association's properties
(iv) Shall submit a quarterly report to the house on its activities
(v) Shall maintain separate bank accounts of its own
(vi) Shall prepare budgets and investment proposals
(c) Interview Committee
(i) Shall comprise of not fewer than three members
(ii) Shall interview intending members and recommend such to the house for approval
(d) Welfare Committee
(i) Shall be headed by the Vice President of the Association
(ii) Shall receive reports from and maintain constant communication with members and their families especially those resident outside BARCELONA as regards their welfare and shall advance reports to the house for notification and action when necessary
(iv) May also be charged with issues directly involving members and his wife, children, etc.
where it is in the interest of the Association and parties involved to mediate
(v) Membership, scope and other functions of the welfare committee shall be the prerogative of the Association
3. AD-HOC COMMITTEES There shall include:
(a) Care-taker Committee
(b) Audit Committee
(c) Other Committee
4. FUNCTIONS/COMPOSITION OF AD-HOC COMMITTEES
(a) Care-taker Committee (1) The Election/Care-taker Committee shall have
(a) Chairman
(b) Secretary
(c) Treasurer
(d) Two (2) other members elected from the general house
(ii) Shall be setup on the dissolution of the Executive Committee in December meeting
(iii) It shall run the affairs of the Association and conduct the election of new officers on the January meeting for a new term of office
(b) Audit Committee
(i) Shall look into the finance of the Association
(ii) Shall be constituted at the end of the Association Calendar Year or any other time as may be decided by the house.
(iii) Shall have three members only and must not include nominees of any officers
(iv) Shall have powers to summon any member before it and subpoena any Association material subject to approval by the house
(v) Shall be given specific time or period to conclude its assignment
(vi) The aid of an External Auditor may be sought by the Association where need be
(c) Other Committees
The house may set up other committees to perform specific assignments. Such committees shall be dissolved after performing its assignments
ARTICLE FOUR: MEETING
(a) Shall hold on the 2nd Saturday of every month and at 4 pm prompt unless otherwise directed.
(b) The President shall summon all general meetings through the Secretary or one-third (1/3) signatory of bonafide members shall be instrument of summoning meeting when the secretariat fails to
(c) The President or his Vice shall preside over all general meetings. In the case where both are absent, the house may appoint any member of the executive to preside.
(d) There may be emergency or extra ordinary meetings of the Association summoned by not fewer than half members of the Executive Committee in writing and issues for discussion at such meetings shall be one where the Executive Committee cannot take decision and cannot wait for a general meeting
(e) For the purpose of meetings, 2/3 the number of bonafire members of the Association shall constitute a quorum otherwise; members present shall constitute itself into a committee of the house. However, decisions taken by the Committee shall be ratified by the house
(f)
(i) A member may apply to host the Association giving not less than four weeks notice to the date of the meeting
(ii) Association meetings shall hold at the Uma ne Edo of Barcelona Secretariat or such a place as may be determined by the house from time to time
(iii) The house may require a member to host the Association each month and to rotate as may be specified by a master list to be compiled by the secretariat from time to time
(g) Any change of venue shall be made known to members and description of the new place shall have been clearly stated to members
2. COMMITTEE SESSIONS
(a) Each Committee, both Standing and Ad-Hoc shall determine both venue and time of it sessions
(b) A simple majority of the Committer members whether or not they are all officers of the Committee shall form a quorum in such a committee session
ARTICLE FIVE: DISCIPLINE
1. OFFENSES
The under listed among others shall be regarded as offenses against Association whether it is committed in part or in whole by any member or persons (a) Violation of the Constitution the Uma ne Edo of Barcelona
(b) Impersonation
(c) Acts of subversion, plotting against the Association or its officers and acting in a manner capable of bringing the name of the Association to ridicule or contempt in any form
(d) Flouting the rules or decisions, of the House defrauding the Association or any of it officials' acts disrespectful to officials and members at Association gatherings or carrying out propaganda which would tend to damage the reputation of the Association or any of its officers in their official capacities.
(e) Acts of dishonesty, bribery and corruption
(f) Disclosing Association confidential information without authorization or deliberately giving wrong information to any organ of the Association
(g) Absenteeism from three consecutive Association meetings without proper excuse
(h) Lateness to Association sessions with no just cause
(i) Gross financial indebtedness to the Association
(j) Gross misconduct
2. PUNISHMENT All Association members shall be subject to the following disciplinary measures and the form of punishment adopted shall depend on the gravity of the particular offense committed
(a) Expulsion
(b) Suspension from office, part of, or from all activities
(c) Removal from office or debarring from holding office for a period of time
(d) Fine
(e) Censure
(f) Caution and Discharge
(g) Any other disciplinary measures as may be recommended and ratified by the various bodies concerned.
3. PROCEDURE/TRIALS
(a) Any Association members accused of committing an offense against the constitution of the Association shall be informed in writing of the accusation against him not less than seven (7) days before he shall be summoned to appear before a disciplinary committee of the Association
(b) The Disciplinary body concerned shall fully investigate the allegations and if proved beyond reasonable doubts, such members shall be punished according to the provisions of this constitution or as it deems fit if no specific punishment is prescribed
(c) All reports/findings of the disciplinary committee shall be submitted to the House for ratification
(d) Any aggrieved member over a decision of the house may appeal to the house for a reconsideration of this case. The earlier punishment shall be null and void or reviewed if carried by a two third majority in a properly constituted meeting of the Association
4. FINES/PENALTIES
Fine/Penalties stated here shall apply in case of:
(a) LATENESS
(i) Failure to attend meetings punctually, that is, coming late to meeting without prior notice is punishable by a fine of one dollar (1) only after opening prayer.
(ii) Lateness to other properly constituted Association functions/sessions shall attract a fine of five euros (5)
(b) ABSENTEEISM
(i) Absence of a member from general meeting without prior permission or written excuse acceptable to the house shall attract a fine of (5)
(ii) Absence from other properly constituted Association sessions/gatherings without prior permission and/or written excuse acceptable to the house shall attract a fine of twenty euros (20) only
(iii) The Presiding Officer shall decide the acceptance or otherwise of any excuse
(c) PUBLIC CONDUCT
(i) Any member of the Association who conducts himself in the public or in any activity which the Association is participating outside Association meeting in a drunken number or in such a manner likely to bring embarrassment and/or ridicule to the Association shall be liable to a minimum fine of (10) only on first offense.
(ii) A second offender if any ordinary member of the house shall be liable to a fine of fifteen euros (15) only and may be barred from holding any office of trust in the Association for a period to be determined by the house
(iii) A second offender of any officer of the Association shall lose his portfolio in the Association (20) only. He could also be barred from holding any office of trust in the Association for a period to be determined by the house
(iv) A third offender whether an officer of the Association or not stands expelled from the Association and without appeal
5. STANDING ORDERS
(a) All members are expected to attend all constituted general meetings and sessions punctually
(b) A member who fails to attend meetings on three consecutive occasions without appropriate permission shall be asked to re-declare membership. Where such member continues to be inactive i.e. three further consecutive absences, he shall forfeit his membership.
(c) Improper conduct of self during Association session shall be called to order by the chief Whip and the presiding officer may meet out punishment fine as he may deem fit
(d) A member apart from the presiding officer shall address the house while standing in a general meeting and having been permitted by the presiding officer on signifying by a show of hand.
(e) When a member is making point on the floor of the house, it shall be considered an offense to interrupt him or shout him down.
(f) The proceedings and debate in all Association sessions shall be in Edo Language or English Language
(g) A motion shall be sponsored by one member and supported by two others before it is considered for voting where countered
(h) No motion shall be entertained at a Association session without prior notice of such motion given to the Secretary or President except -
(i) a motion of adjournment of the meeting
(ii) a motion that any subject be referred to a committee of members of the Association or some other appropriate body
(iii) a motion proposing an amendment to some other motion depending on the original movers consent
(iv) a motion objecting to any matter of the floor of the house which has not been passed
(i) A motion or amendment may be withdrawn at any time at the request of the mover and with the consent of the President, or presiding officer
(j) The presiding officer in a meeting shall be entitled at his discretion to dispense with the requirement to give notice of motion in any case where it is necessary for reasons or urgency to do so.
(k) The Secretariat shall furnish members prior to meetings with notice of meetings and agenda
(l) A member must confine his observations to the subject under discussion and may not introduce irrelevant matter thereto. Any member deviating from the provisions of these rules may be immediately called to order by the Presiding Officer or by a member raising a point of order. A member raising a point of order or information as the case may be shall simply direct attention to the point he desires to bring to notice and submit it to the Chairman for decision
(m) No member shall leave meeting except with the permission of the Presiding Officer
(n) At any time in the course of a debate any member shall be entitled to move that the questions should not be discussed and unless it shall appear to the Chairman that such motion is premature, the meeting shall be entitled to decide without amendment or debate whether the question should be discussed at a stage of that debate provided such shall not prejudice the right of the mover of the motion of amendment to wind up.
(o) A motion once defeated or rejected by majority vote in a properly constituted general house
(i) may be represented by application in not less than two months from the date of the original motion
(ii) if defeated a second time the motion shall not be represented within one calendar year of its defeat
(iii) Exceptions may arise in specific cases where the discretion of the presiding officer shall be final
(p) Issues not concluded in the general meeting shall be a decision of the house to be:
(i) Left in the hands of the executive to conclude
(ii) Referred to a special committee, depending on its background
(iii) Resolved by any other means other than "i" and "ii" above
(q) A distant member shall maintain regular communication with the Association and the Association shall do same
(r) All distant members must endure that their financial obligations are regular
(s) Any member whose conduct is disorderly at any Association session or refuses to withdraw an offensive or insulting language after he has been told by the Chairman to do so may be suspended from the meeting and further punishment may follow at the discretion of the house
(t) Where the financial trustees, officers or members defraud, the Association will explore all legitimate avenue to retrieve such money and the affected members shall be summarily dismissed from the Association
(u) Where any officer of the entire committee Members whether standing or ad-hoc is found wanting in the discharge of his/their duties such member officer shall be debarred from his functions or the committee shall stand dissolved as the case may be provided a simple majority vote in a properly constituted Association session is met
Unless where otherwise desired, voting on any subject shall be by show of hands
(w) Any member who fails to accept the responsibility assigned to him by the Association shall be referred to the disciplinary bodies of the Association for action and the disciplinary bodies of the Association for action and the disciplinary committee will determine what reason is cogent whether the reason(s) given is cogent
ARTICLE SIX: FINANCE
1. Source
The Uma ne Edo of Barcelona shall derive its finances from:
(a) A registration fee of (50)
(b) A monthly due of (20) only paid by all active members and (30) paid by distant members. Where any member defaults this provision for a period of 6 months, he shall be deemed to have voluntarily lost his membership rights
(c) General levy for special/specific objectives raised where and when necessary by the house
(d) Voluntary donations from individuals or group or individuals provided such shall not bond the Association to the dictate of the donor
(e) Raffle draws and other fundraising activities
(f) Any commercial out put as may be determined from time to time
(g) Fines, etc.
2. BANK
(a) Uma ne Edo of Barcelona shall maintain a current account with any reputable back in Barcelona and wherether the Association deems fit
(b) The President, Secretary and Treasurer shall be signatories to all Uma ne Edo Bank transactions
(c) The financial secretary shall collect all Association monies issue receipts for them and hand them over to the Treasurer for banking
(d) The Treasurer shall receive for and pay dues or monies collected by him into Uma ne Edo of Barcelona accounts within two business days. Submit receipt to the house by the next meeting
(e) The Treasurer shall keep and disburse an imprest account of not more than one hundred euros (100) only which shall be continuously replenished not more than 100 after such monies have been fully accounted for
(f) There shall be a fixed account for Uma ne Edo of Barcelona
3. TRUSTEES
The Trustees of Uma ne Edo of Barcelona shall be that specified in Article 3, section 6, subsection 2, (b) of this constitution
4. PROPERTY OWNERSHIP
(a) Uma ne Edo of Barcelona shall involve in ownership of moveable and immovable properties and the properties and the proceeds from such properties shall be administered judiciously in the interest of all Association members
(b) All properties of Uma ne Edo of Barcelona shall be administered by the Trustees of the Association
ARTICLE SEVEN: BENEFITS
1. The provisions of this section of the constitution entitles any member of the Association to the services of the Association in social financial and moral matters provided such member at the time of the assistant is a bonafide member
2. The Association shall rally round any desirous member morally and socially in times of his need; ill health, marriages etc.
3. A bonafide member may seek loan from the Association without interest on the recommendation of a board of Trustee/Investment committee provided
(a) such member shall make his request in writing to the Board of Trustee/Investment committee and an advance copy sent to the house through the Executive
(b) Shall produce two accredited members as guarantors
(c) Such money borrowed must be paid within time agreed in contract
4. A guarantor shall not be entitled to any loan himself if the one to which he is a guarantor defaults or have not been fully offset.
5. Statement of account of all Associations' investments shall be declared on the last meeting of December each year and copies sent to members immediately
6. A bonafide member on losing his biological father or mother or wife, shall get a Association assistance of (1000) to which every member shall contribute at the first outing. He shall also be entitled to two Association visits or outings during the burial ceremony as he may prefer
7. When a bonafide member dies, it's mandatory that all members must attend the funeral services. His next of kin shall be entitled to (1000) The Association shall provide coffin of the family. Where the deceased is to be transported home (1000) shall also be contributed towards it
8. CHILD BIRTH
Each bonafide member's wife shall be visited and be given a birth-gift of 100 only on delivery
9. A hospitalized sick member shall be visited at least once by all Association members and shall in addition get a get well card only from the Association subject to being bonafide
10. A bonafide member on losing his job within the ambits of the law shall get a sympathy aid of 100 only from the Association in addition to voluntary donations by all members
11. A bonafide member on losing any of his parents-in-la shall be entitled to a wake keeping and at least a donation of 250 only from the Association
2. The Association shall host members and theirs families every December
ARTICLE EIGHT: AMENDMENTS
1. The Association reserves the right of amending this constitution whenever such amendments shall be considered necessary provided
(a) A motion of amendment of any article, section and clause of the constitution is submitted by a bonafide member who must be the mover of the motion to the general house through the Secretary
(b) Such a motion of amendment is duly supported by at least two other members
(c) Such a motion of amendment is read to the house in a previous meeting before debate
(d) Such a motion of amendment is adopted by 2/3 majority vote to the nearest whole number in a properly constituted house
ARTICLE NINE: APPENDIX
1. BYE LAWS
(a) The general meeting shall have power to make bye laws on any issue not covered by this constitution provided such bye laws are in the interest of the Association and within the ambit of law and fairness
(b) Records shall be kept of all laws enacted by the Association and same shall be communicated to members
(c) Laws enacted by the house can be repealed or amended by the house provided the same general amendment clause is specified in this constitution is adhered to
2. BONAFIDE MEMBER
The term bonafide member refers to a Association member who had fulfilled his financial obligations to the Association and not indebted to the Association for more than (40) must also meet us attendance requirement
3. THE DEVICE OF THE COMMON SEAL
The registered device of the common seal of the Uma ne Edo of Barcelona shall be the profile view of a commemorative head (ELAO) as shown below
4. SPECIAL CLAUSE
(i) The income and property of the Uma ne Edo of Barcelona whensoever derived shall be applied solely towards the promotion of the Association as set forth in this rules and regulations/constitution and no portion thereof shall be paid or transferred directly or indirectly, by way of dividend, bonus, or otherwise howsoever by way of profit to the members of the Uma ne Edo of Barcelona
(ii) Provided that nothing herein shall prevent the payment in good faith, or reasonable and proper remuneration to an officer or servant of the Uma ne Edo of Barcelona in return for any service actually rendered to the Association but so that no member of the Council of Management or Governing Body shall be appointed to any salaried office of the Association or any office of the Association paid by fees; and that no remuneration of other benefit in money or money shall be given by Uma ne Edo of Barcelona to any member of such council or governing body repayment of out of pocket expenses or reasonable and proper rent for premises demised, or let to the Association provided that the provision last aforUEBid, shall not hold more than one hundredth part of the capital and such member shall not be bound to account for any share of profits he may receive in respect of any such payment
(iii) No addition, alteration, or amendment shall be made to or in the rules and regulation/constitution for the time being in force, unless the same have been previously submitted to and approved by the Minister
(iv) In the event of a winding up or dissolution of the Association there remains after the satisfaction of all its debt and liabilities, any property whatsoever the same shall not be aid to or distributed among the members of the Association but shall be given or transferred to some other institution or institutions having objects similar to the objects of Uma ne Edo of Barcelona and the body or bodies are prohibited from distributing its or their income and property amongst its or their members to the extent at least as great as is imposed on the Association under or by virtue of the special clause hereof such institution or institutions to be determined by the members of Uma ne Edo of Barcelona at or before the time of dissolution and if in so far as effect cannot be given to the aforUEBid provision than to some charitable object.
